SERHILL Terms of Service

These Terms of Service (“Terms”) govern access to and use of SERHILL services provided by Milata LLC, operating under the SERHILL brand (“SERHILL,” “we,” “us,” or “our”).
SERHILL services may include the SERHILL website, Trainer Portal, Client Portal, mobile applications, Workout Builder, Meal Planner, Food Tracker, scheduling tools, digital training and nutrition programs, subscription services, and related features (collectively, the “Services”).
By creating an account, purchasing or subscribing to a SERHILL service, or otherwise using the Services, you agree to these Terms.
1. Eligibility and Accounts
You must provide accurate information when creating or using a SERHILL account and are responsible for maintaining the confidentiality and security of your login credentials.
You are responsible for activity performed through your account.
You may not use another person’s account without authorization or attempt to gain unauthorized access to another user, account, or part of the Services.
2. Trainer and Client Accounts
SERHILL may provide different functionality for trainers, coaches, clients, and individual users.
Trainers using SERHILL are responsible for their professional services, communications with clients, and training or nutrition recommendations they provide or modify through the platform.
Where a trainer creates, assigns, or modifies a workout, training program, meal plan, appointment, or other recommendation for a client, the trainer remains responsible for determining whether that recommendation is appropriate for that client.
SERHILL provides the technology used to organize and deliver these services but does not assume the professional responsibilities of an independent trainer, coach, or other service provider using the platform.
3. Fitness, Health, and Nutrition Disclaimer
SERHILL provides fitness, exercise, nutrition, tracking, scheduling, and related informational tools.
SERHILL does not provide medical diagnosis, medical treatment, emergency medical services, or individualized medical advice.
Exercise and dietary changes involve inherent risks. Users are responsible for considering their own health, physical condition, limitations, injuries, allergies, medications, and other relevant circumstances before following any training or nutrition recommendation.
Users should seek advice from an appropriate qualified healthcare professional when necessary before beginning or modifying an exercise or nutrition program.
If you experience severe pain, dizziness, difficulty breathing, loss of consciousness, or another potential medical emergency, stop the activity and seek appropriate medical assistance.
4. Workout Builder and Automated Recommendations
SERHILL may provide automated or algorithm-assisted tools that generate workouts, exercise selections, training parameters, meal plans, nutrition recommendations, or other suggested content based on information supplied by the user or trainer.
These outputs are recommendations and are not guarantees that a particular workout, exercise, load, meal, calorie target, or other recommendation is appropriate for every individual.
Users and trainers remain responsible for reviewing generated recommendations before relying on or assigning them.
SERHILL does not guarantee any particular fitness, health, body composition, strength, performance, or nutrition result.
5. User-Provided Information
Users may provide information including profile information, training preferences, exercise results, body measurements, check-ins, nutrition records, meal information, scheduling information, notes, and other content necessary to use the Services.
Users are responsible for the accuracy of information they provide.
SERHILL may process this information as necessary to operate the Services, provide requested functionality, maintain user records, generate recommendations, and improve service functionality in accordance with our Privacy Policy.
You retain ownership of content and information you provide, subject to the rights necessary for SERHILL to host, process, display, transmit, and otherwise use that information to provide the Services.
6. Google Calendar Integration
SERHILL may allow eligible users to connect their Google account and Google Calendar.
Google Calendar integration may be used to display, create, synchronize, update, or cancel training sessions, appointments, and related scheduling information.
Connecting Google Calendar is optional and requires explicit authorization through Google’s OAuth process.
SERHILL requests Google permissions only as necessary to provide the calendar functionality available to the user.
Users may revoke SERHILL’s Google access at any time through their Google Account permissions and, where available, through SERHILL’s disconnect functionality.
SERHILL’s access, use, storage, and sharing of information received from Google APIs is described in the SERHILL Privacy Policy and is subject to applicable Google API policies, including the Google API Services User Data Policy.
7. Third-Party Services
SERHILL may integrate with third-party services such as payment processors, authentication providers, calendar providers, hosting providers, analytics services, or other infrastructure providers.
Use of third-party services may also be subject to the terms and privacy policies of those providers.
SERHILL is not responsible for outages, changes, restrictions, or independent actions of third-party services outside SERHILL’s reasonable control.
8. Purchases and Subscriptions
Certain SERHILL Services may require a one-time purchase, recurring subscription, or other payment.
Prices, billing periods, included features, and applicable charges are presented before purchase or subscription.
By purchasing a recurring subscription, you authorize the applicable payment provider to charge the payment method associated with your account according to the billing schedule presented at purchase until the subscription is cancelled.
Taxes may be added where required by applicable law.
9. Subscription Renewal and Cancellation
Recurring subscriptions automatically renew according to the billing period disclosed at purchase unless cancelled before the next renewal.
Users may cancel an eligible subscription through the available account or subscription-management functionality or through the applicable payment provider where required.
Cancellation stops future renewal charges but does not ordinarily terminate access already paid for during the current billing period.
Unless otherwise stated at purchase or required by applicable law, cancellation does not automatically create a refund for charges already processed.
10. Refunds
Refund eligibility may depend on the specific SERHILL product or service purchased and applicable law.
Digital products, downloaded materials, delivered programs, subscription periods already used, and services already provided may be non-refundable except where a refund is required by law or expressly provided by SERHILL.
Any product-specific refund terms displayed at the time of purchase form part of these Terms.
Nothing in these Terms limits any non-waivable consumer rights provided by applicable law.
11. Digital Products and Programs
SERHILL may sell or provide digital training programs, nutrition materials, educational content, guides, downloadable materials, and similar products.
Unless expressly stated otherwise, purchasing a digital product provides the purchaser with a personal, non-exclusive, non-transferable right to use that product.
Digital products may not be reproduced, resold, redistributed, published, sublicensed, or commercially exploited without written authorization from SERHILL.
12. Acceptable Use
You may not:
- use SERHILL for unlawful, fraudulent, abusive, or deceptive purposes;
- attempt to access accounts, systems, or information without authorization;
- interfere with or disrupt the security or operation of the Services;
- introduce malicious software or harmful code;
- scrape, systematically extract, or reproduce protected SERHILL content except where permitted by law;
- reverse engineer or attempt to obtain protected source code except where such restriction is prohibited by law;
- impersonate another person or misrepresent your authorization to act for another person;
- use the Services in a manner that violates the rights of SERHILL, another user, or a third party.
13. Intellectual Property
The SERHILL name, branding, software, interfaces, designs, graphics, databases, training materials, methodologies, documentation, digital products, and other proprietary content are owned by or licensed to Milata LLC unless otherwise stated.
These Terms do not transfer ownership of SERHILL intellectual property to users.
Access to the Services grants only the limited rights necessary to use the Services in accordance with these Terms.
14. Service Availability and Updates
SERHILL may update, modify, add, remove, suspend, or discontinue features when reasonably necessary for maintenance, security, legal compliance, product development, or service improvement.
We may also update applications or require supported software versions to maintain compatibility or security.
SERHILL does not guarantee uninterrupted, error-free, or permanently available operation of every feature.
15. Account Suspension and Termination
SERHILL may restrict, suspend, or terminate access to the Services where reasonably necessary because of:
- violation of these Terms;
- fraudulent or abusive activity;
- unauthorized access or security risks;
- failure to pay applicable charges;
- legal or regulatory requirements; or
- conduct that materially threatens SERHILL, its users, or its systems.
Users may stop using SERHILL at any time and may request account deletion subject to applicable data-retention requirements described in our Privacy Policy.
Termination does not eliminate payment obligations or other obligations that arose before termination.
16. Privacy and Data Protection
Use of SERHILL is also governed by the SERHILL Privacy Policy.
The Privacy Policy describes the categories of information SERHILL may collect and how information, including Google user data where applicable, may be accessed, used, stored, shared, protected, and deleted.
Users who provide information concerning another person are responsible for having appropriate authorization to provide and process that information through SERHILL.
17. Minors
SERHILL is not intended to permit minors to independently create or use accounts where parental or guardian authorization is required by applicable law.
Where a parent, legal guardian, trainer, coach, or other authorized adult provides or manages information relating to a minor, that person is responsible for obtaining any consent or authorization required by applicable law.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
SERHILL does not warrant that the Services will always be uninterrupted, error-free, or suitable for every user’s individual fitness, nutrition, business, or scheduling requirements.
SERHILL does not guarantee specific physical, financial, professional, fitness, nutrition, performance, or other results from use of the Services.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Milata LLC, SERHILL, and their owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of, or inability to use, the Services.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
20. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, or expenses arising from your unlawful misuse of the Services, your violation of these Terms, or your infringement of another person’s rights.
Trainers and other professionals using SERHILL remain responsible for services and professional recommendations they independently provide to their clients.
21. Governing Law
These Terms are governed by the laws applicable to Milata LLC in the United States and the state in which Milata LLC is organized, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Any mandatory rights available to consumers under applicable law remain unaffected.
22. Changes to These Terms
SERHILL may update these Terms to reflect changes to the Services, business practices, legal requirements, or third-party integrations.
The current version will be published on this page with an updated “Last Updated” date.
Where required by applicable law, we will provide additional notice of material changes.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
